Article I: Name

The name of the organization is Towns Union Master Gardener Association, hereinafter referred to as TUMGA.

Article II: Purpose

TUMGA is a group of MG Extension Volunteers (MGEVs) whose purpose is educational, to promote good horticultural practices in cooperation with the University of Georgia Cooperative Extension Services, and to assist MGEVs to fulfill their volunteer commitments to their community and local Extension Office.

Article III: Membership

Type of Membership:

Section 1:        Persons having completed UGA’s MGEV requirements are eligible for membership, including MG Trainees.


Section 2:        There shall be one type of non-voting associate membership: Friends of TUMGA who wish to participate in programs and activities.


Section 3:        To be a voting member, dues must be paid in full by the designated date of the current year.


Section 4:        The official means of communication shall be by email.

Article IV: Meetings

Section 1: General Membership Meetings shall be conducted on a monthly basis.


Section 2: Special Meetings.  The Board may call special meetings as the need arises. The Board shall announce special meetings to the members by telephone or email at least three (3) days before the meeting date.


Section 3: Parliamentary Authority.   Meetings shall be conducted following the most current edition of Robert’s Rules of Order.

Article V: Voting

Section 1: Quorum: Fifty percent (50%) of the voting members present, as defined in (Article III: Membership, Section 3).


Section 2: Absentee Voting: Electronic mail (email) shall be utilized for elections of the Original Slate of Officers, the Annual Budget, and adoption of and/or amendments to Bylaws.


Article VI: Officers and Duties

Section 1: President

Refer to TUMGA Policies and Procedures concerning conditions for occurrence of Co-Presidents.)

  1. Preside at all TUMGA Board and general meetings.
  2. Prepare a meeting agenda and email to TUMGA membership, notifying membership of upcoming meetings.
  3. Review in detail all budget and progress reports of all committees and projects.
  4. Serve as ex-officio member of all standing committees except the Nominating Committee.
  5. Act as liaison with respective Extension Agents, as well as GMGA District Manager, and UGA MG Coordinator.
  6. Ensure that Bylaws and TUMGA Policies and Procedures are followed.


Section 2: Vice-President

  1. In the absence of the President, assume and carry out the duties and responsibilities of the President.
  2. Plan and arrange all educational programs for general meetings and special events.


Section 3: Treasurer

  1. Act as financial liaison between the Extension Office and TUMGA membership.
  2. Keep an exact account of all dues, other income, deposits and disbursements, as provided by the Extension Office Financial Report.
  3. Authorize in a timely manner the payment of bills upon receipt of a written statement and proof of purchase consistent with the current budget.
  4. Present the financial report and budget report monthly for membership review.


Section 4: Recording Secretary

  1. Record the minutes and prepare for distribution to all TUMGA Board and general meetings.
  2. Keep a record of attendence of the general membership meetings.


Section 5: Corresponding Secretary

  1. Perform those duties necessary for formal correspondence activities of TUMGA.
  2. Maintain TUMGA’s membership list (containing Name, address, telephone number, and email address). Distribute membership list to TUMGA membership as changes occur.
  3. Maintain the email distribution lists and distribute all correspondence relating to TUMGA business. (Refer to TUMGA Policies and Procedures)






Section 6: Elections and Terms

  1. Officer elections shall be held in June of each calendar year.
  2. Each officer shall serve for a term of one (1) year and until a successor is elected or until such officer’s resignation, incapacity to serve, or removal.
  3. Officers may serve no more than three (3) consecutive one-year terms.

Article VII: The Board of Directors

  1. The Board of Directors, herein will be referred to as “the Board”.
  2. The Board consists of the President, Vice President, Treasurer, Recording Secretary, Corresponding Secretary, the immediate Past President, Chairperson(s) of the Standing Committees, and the County Extension Agent.
  3. The immediate Past President and County Extension Agent shall serve in an advisory capacity, attend meetings at will and be non-voting members.

Article VIII: Duties of The Board of Directors

  1. Develop and recommend for membership approval the Annual Budget as presented by the Project Chairs.
  2. Fix the date, time, and place of meetings.
  3. Perform such other duties as are listed in the Bylaws or as directed by the membership or County Extension Agent.
  4. Conduct business as required between general membership meetings.
  5. Receive and review all Committee reports.

Article IX: Committees

  1. Standing Committees shall be coordinated by the Board with duties and responsibilities defined in the TUMGA Policies and Procedures.
  2. Standing Committees shall be:
  1. Bylaws Committee; 2. Project/Education Committee; 3. Budget Committee; 4. Nominating Committee
  1. Ad hoc Committees shall be coordinated by the Board with duties ad responsibilities defined in the TUMGA Policies and Procedures.

Article X: Committees

  1. The fiscal year shall be from January 1st through December 31st of each calendar year.
  2. The funds of TUMGA are held and maintained by the Union County Extension Office. All deposits and expenditures require approval by the Treasurer. Expenditures of TUMGA cannot exceed the funds available in TUMGA’s account, as verified by the Union County Extension Office.

Article XI: Dissolution

Upon dissolution of TUMGA, any remaining assets, after payment of all just debts of TUMGA, shall remain in the Union County Extension Office account.


Article XII: Waiver of Responsibility

All meetings, exhibitions, and field trips attended members or guests are at their sole discretion, and TUMGA assumes no responsibility for personal injury or loss or damage of any property or plant material.

Article XIII: Approval of Bylaws

TUMGA Bylaws may be altered or amended at regular or special meetings according to Article V: Voting, Sections 1 and 2 and the TUMGA Policies and Procedures.







Upon motion duly made and passed and recorded, these Bylaws were adopted at the meeting of TUMGA on the 13th day of October, 2016.
